Subscriptions, Billing, and Trials

By subscribing, you authorize LicenseTrail or its payment processors to charge all applicable fees to the payment method you provide.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event will LicenseTrail, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

To the extent permitted by law, LicenseTrail's total cumulative liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts paid by you to LicenseTrail for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Indemnification

You agree to indemnify, defend, and hold harmless LicenseTrail, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms or applicable law.

Term and Termination

LicenseTrail may suspend or terminate your access to the Service at any time, with or without notice, if it believes you have violated these Terms or if it is reasonably necessary to protect the Service, other users, or third parties.

Upon termination, your right to access and use the Service will cease immediately. Certain provisions of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, and indemnity) will survive.

Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or relating to these Terms or the Service will be the state and federal courts located in or serving Houston, Texas, United States, and you consent to the personal jurisdiction of such courts.

LicenseTrail may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and may provide additional notice as required by applicable law. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
